MarineMax (HZO) Q3 FY26 Earnings: $52M Loss to $15M Profit, How Much Was the Writedown?

Listen to this report

The Hook

MarineMax $HZO reported net income of $15.4 million for the quarter ended June 30, 2026, against a net loss of $52.1 million in the same quarter a year ago. Operating income swung from negative $41.5 million to positive $37.2 million. That is a $78.8 million move in a single line item, in twelve months, at a company whose revenue actually went down 7 percent over the same span.

A swing that large on falling revenue is almost always an accounting event, and this one mostly is. The June 2025 quarter carried a $69.1 million non-cash goodwill impairment. That single charge accounts for $69.1 million of the $78.8 million swing, or 88 percent of it. But the remaining $9.7 million is real, it is operational, and it came from somewhere genuinely interesting: MarineMax sold fewer boats and made more money doing it.

Company Snapshot

MarineMax is, by its own description, the world's largest recreational boat and yacht retailer, marina operator and superyacht services company. It runs over 70 retail locations across 21 states, plus the IGY Marinas network, the Fraser Yachts and Northrop & Johnson superyacht brokerages, and MarineMax Vacations in the British Virgin Islands. It also manufactures: Cruisers Yachts and Intrepid Powerboats sit in a separate Product Manufacturing segment. Florida generated roughly 54 percent of dealership revenue in fiscal 2025.

This analysis covers the Form 10-Q for the fiscal third quarter ended June 30, 2026, filed July 23, 2026. MarineMax's fiscal year ends September 30, so this is the third quarter of fiscal 2026 and the seasonal peak: April through June is when boats sell.

The Financial Story

The impairment was in the factory, not the dealerships. The $69.1 million charge was recognized against the Product Manufacturing reporting unit, and it wrote that unit's goodwill to zero. The dealership business was never impaired. The 10-K notes explicitly that no impairments were recorded for the Retail Dealerships, Superyacht Services or IGY Marinas reporting units. So the headline "loss" a year ago was the boat-building arm being written down, not the retail franchise breaking.

Strip the charge out and the comparison gets honest. Prior-year operating income becomes positive $27.5 million rather than negative $41.5 million. Against this quarter's $37.2 million, that is growth of 35 percent, not a $78.8 million reversal. The segment table makes it cleaner still: Retail Operations earned $37.17 million this quarter versus $28.08 million a year ago, up 32 percent, while Product Manufacturing narrowed its loss from $3.3 million (excluding the charge) to $0.55 million.

The operational gain came from mix, not volume. Revenue fell 7.0 percent to $611.3 million, and comparable-store sales fell 7.1 percent. Management attributes the decline to lower new and used boat revenue in a challenging retail environment, citing economic uncertainty, evolving trade policies and geopolitical tension including the Iran conflict. Yet gross profit rose 9.3 percent to $218.1 million, and gross margin expanded 5.3 points to 35.7 percent. The filing credits a greater mix of sales, improvements in higher-margin businesses, and to a lesser degree tariff refunds received on current and previous boat sales.

The revenue disaggregation shows exactly what happened. New boats dropped from 63.6 percent of revenue to 59.3 percent. Everything that carries a better margin picked up the slack.

Underneath that, the service and marina annuity grew in absolute dollars while boat sales shrank. Maintenance, repair, storage, rental, charter, parts and accessories revenue reached $117.0 million, up 8.1 percent from $108.2 million. Nearly all of the growth came from marina and storage locations, which produced $78.4 million against $69.7 million, up 12.5 percent. Locations without marina or storage were flat at $38.6 million. MarineMax is slowly becoming a marina operator that also sells boats, and the margin line is where you see it first.

The balance sheet is where the discipline shows. For a boat dealer, carrying cost is the whole game: inventory is financed on a floor plan facility priced at SOFR plus 3.25 percent, so every unsold hull is a meter running. MarineMax destocked faster than its sales fell. Inventory dropped 13.0 percent year over year to $788.6 million while revenue fell 7.0 percent. Floor plan borrowings fell 17.3 percent to $608.3 million, against a $950 million facility. Interest expense followed, down 15.5 percent to $14.3 million in the quarter and down $9.1 million to $44.8 million for the nine months.

Balance sheetJun 30, 2026Jun 30, 2025Change

Floor plan borrowings$608.3M$735.2M-17.3%
Cash$174.8M$151.0M+15.7%
Long-term debt (noncurrent)$335.2M$365.1M-8.2%
Shareholders' equity$952.5M$940.5M+1.3%

That destocking turned into cash. Operating cash flow for the nine months was $157.6 million, against $11.4 million in the same period last year, on nine-month net income of just $4.8 million. Against $27.5 million of capital expenditure, that is roughly $130 million of free cash flow, and management used it to retire $105.6 million of floor plan borrowings and $28.8 million of long-term debt. Customer deposits rose to $61.4 million from $45.7 million at fiscal year end, though September is a seasonal low so that comparison flatters.

Now the part that cuts the other way. One quarter is not a trend, and the nine-month numbers are far less flattering. Nine-month operating income was $53.0 million versus $20.2 million a year ago, but the prior period carried the impairment. Add it back and prior-year nine-month operating income becomes $89.2 million, so on that basis MarineMax is down 41 percent. The prior year also included a $25.7 million gain from revaluing contingent consideration liabilities, against just $0.3 million this year. Strip out both distortions and the clean comparison is roughly $52.6 million this year against $63.5 million last year, still down about 17 percent. The quarterly arc says the same thing: reported operating income was $4.9 million in Q1 FY26 and $10.8 million in Q2 FY26, against $39.0 million and $22.7 million in the prior-year quarters. Only Q3 turned. The recovery is exactly one quarter old.

Two more honesty checks. Q3 is the seasonal peak, so $37.2 million of quarterly operating income cannot be annualized at four times. And the filing says tariff refunds contributed to the margin expansion without quantifying them, so an unknown slice of the 5.3-point gain is a one-off recovery rather than structural mix.

Valuation

MarineMax closed at $36.25 on July 27, 2026, for a market capitalization of about $801 million on 22.09 million shares, inside a 52-week range of $21.41 to $38.14 (source: stockanalysis.com). Trailing twelve-month revenue is about $2.20 billion. The trailing price to earnings ratio is meaningless at over 200 times, because trailing earnings are near zero.

Two anchors matter more. Book value is $952.5 million, or $43.12 per share, so the stock trades at roughly 0.84 times book. Tangible book, after removing $525.1 million of goodwill and $34.0 million of other intangibles, is $393.4 million, or $17.81 per share. The gap between those two numbers is the question the market is arguing about, and it is worth noting that property and equipment of $541.7 million is carried at depreciated historical cost, which for waterfront marina real estate is a floor rather than a fair value.

Scenario analysis, on stated assumptions and using about 23.2 million diluted shares, a 27 percent tax rate and interest that falls as the floor plan shrinks:

ScenarioAssumptionsImplied value per share
BearRevenue -5% to $2.09B, operating margin 2.5%, interest $58M, valued near tangible asset support$20-24
BaseRevenue flat at $2.20B, operating margin 5.0% (near FY2025 ex-impairment), interest $55M, 15-18x$26-31
BullRevenue recovers to $2.40B (FY2024 level), operating margin 6.5%, interest $45M, 13-14x$45-49

A re-rating to MarineMax's own history says something similar. The company earned $5.00 basic EPS in fiscal 2023 and $1.65 diluted in fiscal 2024, then lost $1.43 in fiscal 2025. At $36.25 the market is paying about 22 times fiscal 2024 earnings and about 7 times fiscal 2023 earnings, so it is discounting a recovery to somewhere between the last normal year and the peak.

That range puts today's price above the base case and below the bull case. There is a specific reason for that, and it is not in the 10-Q. Reuters reported on July 24, 2026 that Blackstone, Donerail and Centerbridge are among the final bidders for MarineMax, that Donerail had previously offered $35 per share in cash and has since raised its bid, and that shares rose 6.5 percent on the report. The 10-Q filed the day before makes no mention of any strategic process, and its Item 1A risk factors read simply "None." So the largest single driver of the current share price appears nowhere in the filing, and readers should treat the takeover reporting as press-sourced rather than filing-grade. Framing: implied value under stated assumptions, not a price target and not investment advice.

Risks

The demand picture has not recovered. Comparable-store sales fell 7.1 percent in the quarter and 5.4 percent over nine months, and the filing states plainly that "due to the uncertainty in the retail environment caused by the tariffs, we have experienced decreased revenues and profits." Tariffs cut both ways here: they suppressed demand while the refunds helped margin, and neither effect is quantified as durable. Roughly 54 percent of dealership revenue comes from Florida, which concentrates hurricane exposure, and the company names Hurricanes Helene and Milton in 2024 and Ian in 2022 as prior disruptions. Leverage is the structural risk: the company discloses that a 100 basis point rise in rates adds about $9.4 million to annual pre-tax interest expense, and 200 or 300 basis points would add $18.7 million or $28.1 million. Against trailing operating income of roughly $67 million, that is a large lever. Access to the floor plan facility depends on covenant compliance, and the company was in compliance at June 30, 2026. Finally, a failed sale process is its own risk, given how much of the current price the reporting appears to explain.

The Bottom Line

Both halves of the question have an answer. Yes, the prior-year loss was an impairment, a $69.1 million goodwill writedown on the boat-building segment that accounts for 88 percent of the swing. And yes, the rest is operational: retail operating income up 32 percent, gross margin up 5.3 points, inventory down 13 percent, interest down 15 percent, and $157.6 million of nine-month operating cash flow on $4.8 million of net income. That is a real deleveraging story on genuinely improved unit economics. What it is not yet is a demand recovery, because unit volumes are still falling and the clean nine-month comparison is still down about 17 percent. Watch three things next quarter: whether comparable-store sales stop declining, whether gross margin holds near 35 percent once tariff refunds lapse, and whether the sale process produces a bid above the $43.12 book value.
